Is my order secure?
Yes. Once you select "Place Order", a new secure window will open up displaying the order form. The old window can be used to go back and get help without having to close the order form.
Why do I have to give three name choices?
On of the requirements of a Florida corporation is that the name is "distinguishably different" then any other name already incorporated in the state. To speed up the incorporation process, we therefore like to obtain three names to ensure your name being different.
For example: If your 1st choice is Brown, Inc. and it's already taken. Your 2nd choice could be Brown Enterprises, Inc. This name is distinguishably different and might be available. If it's not, a 3rd choice could be Brown Enterprises of N.E. Florida, Inc. That further would distinguish it from Brown Enterprises.
Of course, all three names can be totally different as well.
Why can't my business address be a P.O. Box?
Under Florida law, there has be a physical location of the business and you can't operate a business out of the post office or Mail Boxes Etc. or a similar business that offers box rentals.
What is a registered agent and why does it have to have a Florida address?
The registered agent is simply the person who accepts responsibility of being summoned and act as the contact point for the corporation with the state. The state can't subpoena a corporation, it has to be physically handed to a person.
Being that the case, this person must also live and reside in Florida and provide a physical address stating such.
Being a registered agent doesn't make a person any more liable or give them any right to operate or make business decisions. Typically, this person will just be an officer or shareholder of the company. Sometimes attorneys and CPA's are registered agents for a nominal fee.
What if I don't know what I'm going to do with the business yet? Do I have to give a reason?
Certain type of "professional" businesses such as CPA's, attorney's, doctor's, architects etc., must have special wording in their articles of incorporation. If you aren't going to operate any such business, then your business purpose can simply be "Any business allowed under Florida law".
Does the corporation have to have more then one officer, shareholder or director?
No, a single person can be all the officers and the sole director. They can also be 100% owner.
Can a person be a shareholder without being a director and/or officer?
Yes, the same goes for the reverse as well.
How come I can't see a total price before submitting the order?
Sorry, we are working on upgrading the site and currently this is not available. There is no sales tax or shipping charges added to your order. After the order is placed, a confirmation e-mail will be sent with the order details and total cost.
Can I make a change to my order after it is submitted?
Typically no. But if you sent us an email within an hour of submission, we can normally accommodate your changes or cancellation.
Will I receive a confirmation email?
Yes, once the order is received and processed you will receive an email stating such.
What if I need my corporation faster then the 3 to 5 business days as included in the rush service (included with the deluxe corporation)?
If you state such in the comment section of the order form, we can email you the filed articles of incorporation and tax identification number usually within 1 to 2 business days. The corporate book and any other items order will then be shipped in the specified time frame given.
